§1. General provisions

  1. These Terms set out the rules for using the website skrits.com (the “Website”) and the general rules on which Helobrand sp. z o.o., with its registered office in Kraków, Ujastek 1, 31-752 Kraków, entered in the register of entrepreneurs of the KRS (National Court Register) under no. 0001076794 by Sąd Rejonowy dla Krakowa-Śródmieścia w Krakowie, XI Wydział Gospodarczy KRS, NIP (tax ID) 6793286140, REGON (statistical number) 527245854, share capital 5 000 zł (the “Service Provider”), provides advisory and implementation services. Contact: hi@skrits.com; telephone +48 888 409 364 (for formal matters only, not for consultations).
  2. These Terms constitute the terms of service referred to in Article 8 of the Act of 18 July 2002 on Providing Services by Electronic Means (ustawa o świadczeniu usług drogą elektroniczną).
  3. The advisory and implementation services are intended exclusively for businesses (the “Client”). The Service Provider does not enter into agreements for these services with consumers. The free services on the Website (§12) may be used by anyone.
  4. The details of each service (scope, price, deadlines, payment method and any guarantee) are set out in an individual offer sent to the Client by e-mail (the “Offer”). In the event of a conflict, the following apply in this order of priority: mandatory provisions of law, the individual agreement, the Offer, the Terms. The Offer states the version of the Terms to which it refers. The Client’s general terms and conditions do not apply.
  5. A business day is a day from Monday to Friday, excluding public holidays.
  6. The Terms are available free of charge on the Website in a form that can be downloaded, saved and printed. Previous versions are available on request.
  7. The Polish version of the Terms and of the Privacy Policy is binding. Versions in other languages are for information only.

§2. How we enter into an agreement

  1. Each service is ordered after a conversation with the Service Provider. After the conversation, the Service Provider sends the Offer.
  2. The agreement is concluded when the Client accepts the Offer by e-mail or in another manner specified in it. The Service Provider confirms the conclusion of the agreement by e-mail.
  3. Information about services and prices on the website is for information only and does not constitute an offer within the meaning of the Civil Code (Kodeks cywilny). The provisions of the Offer are binding.

§3. Prices and payments

  1. Prices are net prices, to which VAT is added at the applicable rate.
  2. Payment is made on the basis of an invoice, within the time limit and on the terms set out in the Offer. Invoices are issued electronically, including in KSeF (the National e-Invoicing System) where the law so requires; on request we send a PDF visualisation.
  3. Prices do not include fees for third-party tools and services (e.g. subscriptions to AI tools), unless the Offer provides otherwise.
  4. In the event of late payment, the Service Provider is entitled to statutory interest for late payment in commercial transactions and to compensation for debt recovery costs in the amount resulting from the law, and, after notifying the Client by e-mail, to suspend the provision of the service until payment is made.

§4. Provision of services

  1. The Service Provider provides the services with due care, within the deadlines and in the manner specified in the Offer. Meetings usually take place online.
  2. The Service Provider does not guarantee the achievement of specific business results (e.g. revenue, profit or time savings). Decisions on implementing recommendations, and their consequences, rest with the Client.
  3. The services do not constitute legal, tax or investment advice.
  4. The deadlines assume the Client’s cooperation as described in §5. Delays on the Client’s side extend the deadlines accordingly.
  5. Rescheduling a meeting is free of charge if a party requests it at least 24 hours before the meeting. For workshops (e.g. AI Day for the team), rescheduling requested less than 5 business days before the workshop may result in the Client being charged 50% of the workshop price, and 100% in the case of non-attendance, unless a new date is agreed within 30 days. Other rules may be set out in the Offer.
  6. Recording or transcribing meetings (including with an AI tool) is possible only with the consent of the participants.
  7. A change to the scope of a service requires confirmation by e-mail, with a quotation, before it is carried out. The Client must report any objections to a deliverable within 5 business days of its delivery.
  8. A Partner agreement (ongoing cooperation) may be terminated with one month’s notice, at the earliest at the end of the minimum period specified in the Offer. Either party may terminate it without notice in the event of a material breach that has not been remedied within 14 days of a request to do so.
  9. Neither party is liable for non-performance or improper performance of the agreement caused by force majeure, including a prolonged outage of cloud or AI providers’ services. The parties then agree new deadlines.

§5. The Client’s cooperation

The Client provides accurate information and materials needed for the service, provides the necessary access in a secure manner (without sending passwords by e‑mail), designates a contact person, provides personal data only where it has a legal basis to do so, checks content prepared with the help of AI before using it in significant decisions, and is responsible for the compliance of its own use of AI with the law, including the Artificial Intelligence Regulation. The Service Provider is not liable for the consequences of failure to perform these obligations.

§6. Guarantees

  1. If the Service Provider gives a guarantee for a given service, its content and conditions are set out in the Offer.
  2. The guarantee requires the Client to perform its obligations and to report objections within 10 business days of the review. It consists solely of further work by the Service Provider at no additional charge, to the extent specified in the Offer (up to 60 days), and does not include a refund of the fee, unless the Offer provides otherwise.
  3. The criteria by which a deliverable is considered to “work” are set out in the Offer (among other things in the success plan).

§7. AI tools, collaborators and confidentiality

  1. The Service Provider uses AI tools and cloud services (including Google Workspace, Anthropic, OpenAI, Cloudflare). It uses business plans or APIs whose terms, at the time the agreement is concluded, exclude training models on customer data. The Service Provider is not liable for a later change of terms by providers and informs the Client when it notices such a change. The Client may stipulate that certain data must not be processed in a given tool.
  2. Deliverables prepared with the help of AI are checked by a human before delivery.
  3. The Service Provider may entrust part of the work to collaborators who are bound by confidentiality and is liable for them as for its own actions.
  4. Each party keeps confidential the non-public information of the other party obtained in connection with the service and uses it solely to perform the service. This obligation lasts for the term of the agreement and for 5 years after its end, and, in relation to a trade secret, for as long as it retains that character.
  5. Before personal data that the Service Provider is to process on behalf of the Client is transferred, the parties conclude a data processing agreement (umowa powierzenia przetwarzania danych). Knowledge accumulated in the Client’s accounts remains under the Client’s control, and the providers of those accounts are the Client’s processors.
  6. The Service Provider may name the Client as a reference only with the Client’s consent.

§8. Deliverables

  1. Upon payment, the Client may use the deliverables of the service (e.g. plans, documents, procedures, templates and configured tools) for the purposes of its business, without limitation in time or territory, under a non-exclusive licence, unless the Offer provides for a transfer of rights. The Client may not resell the deliverables as its own product or service.
  2. The Client’s materials and the knowledge accumulated in the Client’s accounts remain with the Client.
  3. The Service Provider retains the rights to its general methods, tools and know-how and may continue to use them, excluding the Client’s confidential information.
  4. Deliverables generated with the help of AI may not be protected by copyright; the Service Provider does not guarantee their exclusivity. They are checked by a human before delivery.

§9. Liability

  1. The Service Provider’s liability is limited to actual loss and to the amount of the net fee paid for the service to which the loss relates. The Service Provider is not liable for lost profits. In a Partner agreement, the limit of liability is the sum of the net fees for the 3 months preceding the event.
  2. The limitations in paragraph 1 do not apply to damage caused intentionally or through gross negligence, or to other cases in which the law does not permit liability to be limited.
  3. The Service Provider is not liable for the Client’s business decisions, for the consequences of the Client providing untrue or incomplete information, or for the operation and availability of third-party services.

§10. Complaints

Complaints concerning the services, including the free services on the Website, should be submitted by e‑mail to hi@skrits.com, with a description of the problem. The Service Provider responds within 14 days. If the complaint is justified, the Service Provider corrects the deliverable or repeats part of the service free of charge, and where this is not possible, reduces the fee accordingly.

§11. A Client who is a natural person conducting a business activity

  1. A natural person conducting a business activity who enters into an agreement directly related to their business but not of a professional nature for them has some of the rights of a consumer (Article 38a of the Consumer Rights Act (ustawa o prawach konsumenta) and Article 385⁵ of the Civil Code). A Client who is a natural person conducting a business activity states in the Offer whether the agreement is of a professional nature for them; if it is not, this section applies.
  2. Such a Client may withdraw from an agreement concluded at a distance without giving a reason within 14 days of its conclusion, by sending a statement, e.g. by e-mail to hi@skrits.com. The model form in the Appendix may be used.
  3. If, at the Client’s express request made in the Offer, the service begins before the end of that period, and the Client withdraws from the agreement, the Client pays for the performance rendered up to the moment of withdrawal. The Client loses the right of withdrawal when the service has been fully performed with the Client’s express consent, of which the Client is informed before performance begins.
  4. Provisions that would be prohibited in an agreement with a consumer do not apply to such a Client, in particular the limitations of liability in §9 to the extent that they would be prohibited, and §13(3).

§12. The Website and personal data

  1. On the Website the Service Provider makes available free of charge content (including Academy articles, models and templates), the “Business X-Ray in 5 Minutes” test (calculated in the browser, without saving answers) and a contact form. Appointments are booked in Google Calendar, on that provider’s terms.
  2. The agreement for browsing the Website is concluded upon entering the Website and terminated upon leaving it. Agreements for using the form, the test and a template are performed upon sending the message, displaying the result or downloading the file.
  3. Using the Website requires a device with internet access and an up-to-date browser (e.g. Chrome, Safari, Firefox, Edge), and to submit the form also JavaScript enabled and an e-mail address. The form is protected by Cloudflare Turnstile, which may ask you to confirm that you are not a bot. The Website operates over an encrypted connection (HTTPS).
  4. It is prohibited to transmit through the Website unlawful content, including content infringing the rights of third parties, and unsolicited commercial information, and to disrupt the operation of the Website, including circumventing its security measures and submitting the form automatically.
  5. The content of the Website (texts, models, templates, the test, graphics and the skrits mark) is protected by copyright. Without the Service Provider’s consent it may not be copied or distributed for commercial purposes; the free templates may be used in your own business. The names and marks of tools shown on the Website belong to their owners.
  6. The content on the Website, including Academy articles, models, templates and the test result, is of a general nature. It does not constitute legal, tax or investment advice.
  7. Using the internet involves typical risks, e.g. malware and messages impersonating well-known companies. The Service Provider never asks for passwords or payment card details in e-mail messages.
  8. The rules on the processing of personal data and cookies are described in the Privacy Policy.

§13. Final provisions

  1. The Service Provider may amend the Terms for a valid reason (e.g. changes in law, in the offering or in providers). It announces the change on the Website. Agreements concluded earlier are governed by the Terms as previously worded, unless the parties agree otherwise.
  2. Polish law applies to the agreements. Statements of the parties may be made by e-mail, unless a provision of law requires another form.
  3. Disputes are resolved by the court competent for the Service Provider’s registered office, subject to §11(4).
  4. The invalidity of one provision does not affect the others.
  5. The English version of the Terms is a courtesy translation. In case of any discrepancy, the Polish version prevails.
